Fair Opportunity (Contract Clause A.1.13)

Contractors will be provided a fair opportunity at the individual order level as appropriate per FAR Part 16.505(b), including the SEWP RFQ tools. No documentation for the order selection is required to be submitted with the order. All such documentation is to be maintained by the issuing procurement office.

The Contractor shall not market, quote or otherwise offer for sale, any ITC Solutions not listed under this contract, until the said solutions are included in the SEWP database of record, and available to all Government end-users.

If the Government issues a Request For Information (RFI) as part of market research, the Contractor may provide items not yet listed on their SEWP contract as part of a market research quote if: (1) all such items are clearly marked as not yet available on their SEWP contract; and (2) the contractor submits a technology refreshment request to add those products to their contract. If the Government issues a Request For Quote (RFQ) or a Market Research Request (MRR), the Contractor may only respond with items available on their Contract and the price of each item shall be no greater than the price in the Attachment F SEWP database of record at the time the quote is issued. If the Contractor has insufficient items on their contract to fully respond to the Formal RFQ, the Contractor must respond with a No Bid.

Unless the RFQ specifically allows for partial quotes, the Contractor must respond fully to all requirements specified in the RFQ. When submitting a quote to a government end-user, the contractor must clearly state the length of time the quote is valid. The contractor shall honor any order submitted within the stated time period of a quote. When responding to an RFI or RFQ issued from the NASA SEWP RFQ on-line quoting system, the Contractor must respond as outlined in Attachment C: Contract Holder User Manual (CHUM).

Warranty Provision

Please call Innovative Transducer Implementation LLC to obtain a ?Return Authorization? (RA) number for all returns. All goods to be returned must have prior authorization from our customer service department within 30 days from the receipt of shipment. If not within 30 days from receipt of shipment, Return will not be approved. New Products in original cartons must be shipped prepaid to Innovative Transducer Implementation LLC. Goods returned freight collect will be refused, or if accepted, the freight charges will be deducted from the credit allowance. Credit for approved returns will be issued for the original invoice price, and subject to a 25% restocking charge. Customer is responsible for reporting any concealed damage to ITI Systems within 24 Hours of signed receipt. If item was shipped due to error on Manufacturers part, a full refund will be given for returned items in the original unopened packages, including shipping charges. If the item was ordered in error by the customer, a full refund will be given for returned items in the original unopened packages, less the shipping charges. Items which are not returned in their original, unopened packages will be examined for damage, graded for resale ability and credited accordingly. All merchandise must be in original, unused condition and resalable as new. No used products are to be returned under any circumstances. All returned goods must be sent prepaid at customer?s expense. Any return that is not prepaid will be refused. Any shortages must be reported within one business day after receipt. A 25% restocking fee will be applied to returned goods.

Installation Terms and Conditions

Innovative Transducer Implementation LLC D/B/A ITI SYSTEMS (Service Provider), requires two weeks from the date of contract award to guarantee resource availability. All services pricing is based on work performed during normal business hours, 9AM - 5PM, Monday - Friday, unless otherwise identified in writing. Customer agrees to provide ITI with the full cooperation it needs to perform the Professional Services. This includes timely access to Customer office accommodations, facilities, network, computer systems, and storage equipment. Customer also agrees to provide assistance and complete and accurate information and data from officers, agents, project sponsors, subject matter experts, and employees as ITI may request, in addition to suitably configured, licensed, and operational computer and storage products involved in delivery of the Professional Services. If Customer fails to provide the requisite cooperation on a timely basis, ITI will be relieved of any schedule, milestone, or financial commitments associated with the Professional Services. Customer remains responsible for the physical and network security of Customer?s environment. Customer shall also perform its specific obligations as described in the relevant SOW, and, if necessary, assist and support ITI in the provision of the Professional Services as reasonably requested by ITI, and shall provide all conditions in its business necessary for due performance of Professional Services by ITI. ITI shall perform Services in a workmanlike manner in accordance with generally accepted industry standards. Customer must notify ITI of any failure to perform within ten (10) days after the performance of the applicable portion of the Services. ITI?s entire liability, and Customer?s sole remedy, for ITI?s failure to so perform shall be for ITI to, at its option, (i) use reasonable efforts to correct such failure, and/or (ii) terminate the applicable SOW and refund that portion of any fees received that correspond to such failure to perform. EXCEPT AS EXPRESSLY STATED HEREIN, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WITH REGARD TO PRODUCTS, SERVICES OR ANY OTHER ITEMS OR MATTERS ARISING HEREUNDER, ITI (INCLUDING ITS SUPPLIERS) MAKES NO OTHER EXPRESS WARRANTIES, WRITTEN OR ORAL, AND DISCLAIMS ALL IMPLIED WARRANTIES. INSOFAR AS PERMITTED UNDER APPLICABLE LAW, ALL OTHER WARRANTIES ARE SPECIFICALLY EXCLUDED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING BY STATUTE, OPERATION OF LAW, COURSE OF DEALING OR PERFORMANCE, OR USAGE OF TRADE.
